This product addendum (“Addendum”) forms part of the master license and/or trial agreement between Macrobond Financial AB (“Macrobond”) and Customer (“Agreement”) and sets forth the licensing terms governing Customer’s use of the Macrobond AI Data Feed Service. The effective date of this Addendum is the effective date of the Agreement or, if executed separately, the date of the last signature of this Addendum (“Effective Date”). Capitalized terms not defined in this Addendum will have the meanings given to them in the Agreement.
1.Definitions
AI Data Feed Service means the Data Feed Service plus other functionalities available, that Customer may use with Generative AI Systems and, where applicable, in connection with Traditional Analytical Models.
AI Outputs means any narrative, textual, visual, code or other content produced by a Generative AI System using, referencing, or incorporating Macrobond Data provided through the AI Data Feed Service. AI Outputs do not constitute Data, Derived Data or Customer Output, but may be treated as Customer Output for redistribution purposes where expressly permitted under this Addendum.
Data Feed Service means Macrobond proprietary API data feed service as identified in an applicable Order Form through which Customer may access Data, Customer Output, Third-Party Software & Dataset(s) and other functionalities, as applicable. In each instance that reference is made to “Product” in the Agreement, each such instance shall also include and refer to AI Data Feed Service, as applicable, including for the avoidance of doubt as referred to in the provisions set forth below.
Generative AI System means any artificial intelligence model or system that generates, summarises, transforms, retrieves or otherwise processes narrative, textual, visual, code or other content or data, or enables conversational, natural language, agent-based or autonomous interaction with data or systems, including through large language models, generative AI systems, natural language processing systems, embeddings, vector search, transformer-based architectures or similar methodologies. Generative AI Systems does not include Traditional Analytical Models. For the avoidance of doubt, Generative AI System may include commercially available tools (such as ChatGPT or Claude), provided that such systems are configured and used in accordance with this Addendum.
Permitted Metadata means a limited subset of non-structural metadata strictly necessary to identify and understand an individual time series at a descriptive level, consisting solely of: (a) series name or short description; (b) geographic reference at the country or region level (excluding internal or hierarchical geography codes); (c) frequency and units of measure; (d) observation date or period labels; and (e) source attribution at a high level (e.g., “National Statistics Office”), and expressly excluding any taxonomy, classification system, hierarchy, relationship mapping, internal identifiers, grouping logic, methodology descriptions, MBDoc structures, or any metadata capable of enabling reconstruction, inference, or approximation of Macrobond’s proprietary data models or Products.
Macrobond Data means any Macrobond time series or other raw data, including related metadata curated or created and provided by Macrobond to Customer through the Products.
MBDoc(s) means Macrobond’s proprietary structured document format that encodes methodology, calculations, chart definitions, metadata, and associated structures applied to underlying data series.
Traditional Analytical Models means statistical, econometric, machine learning, forecasting, classification, anomaly detection, clustering, risk modelling and similar analytical methods that operate on numerical data or structured data for analytical purposes and do not generate narrative, textual, visual or code outputs, and do not provide generalized, natural language, agent-based or autonomous access to Macrobond Data.
2.Licence Grant and Use
2.1 In addition to the rights granted under the Agreement and subject to the terms of this Addendum and the Agreement, Macrobond grants Customer a limited, non-exclusive, non-transferable and non-sublicensable license, provided that all use of Macrobond Data is limited to systems (whether operated by Customer or a third-party provider) that are contractually bound to comply with the restrictions set out in Section3, to:
(a) use Macrobond Data retrieved via the AI Data Feed Service with Generative AI Systems and Traditional Analytical Models; and/or
(b) generate AI Outputs, for internal use in the ordinary course of Customer's business, subject to the redistribution restrictions applicable to Derived Data and Customer Output under the Agreement;
3.License Use Restrictions
3.1 Customer shall not, and shall not allow a Designated User or third party to:
(a) alter, translate, reverse engineer, decompile, decrypt or disassemble the Macrobond Data or otherwise attempt to derive or determine the source code, other proprietary information, or trade secrets from the Macrobond Data;
(b) submit, expose, or otherwise use any metadata including any Macrobond taxonomy, classification system, metadata hierarchies, MBDoc structures, chart definitions, methodology, or any other content capable of enabling reconstruction of the Products.
(c) train, fine-tune or benchmark any Generative AI System using Macrobond Data in a manner that would enable the model or system to regenerate, approximate or infer Macrobond Data without requiring access to the AI Data Feed Service;
(d) use Macrobond Data to recreate, infer or approximate Macrobond proprietary metadata or data structures, including taxonomies, series relationships, MBDoc structures, methodologies, chart definitions or product functionality;
(e) combine Macrobond Data with other datasets to create a redistributable, commercial or substitute dataset that competes with Macrobond Data and/or the Products;
(f) create any service, model, workflow or output that replicates or substitutes the Products;
(g) expose Macrobond Data or permit unintended redistribution, including through the generation, use or dissemination of outputs;
(h) use Macrobond Data with any Generative AI System in a manner that violates any applicable Data Provider restrictions;
(i) permit any vendor personnel from accessing or inspecting Customer submissions containing Macrobond Data (except where legally required and under strict confidentiality); or
(j) configure or use a Generative AI System in a manner that enables data retention or model-learning features.
4.Limited Permitted Use
4.1 Provided that Customer’s use does not result in any of the outcomes prohibited under Section 3, Customer may:
(a) use Macrobond Data in Traditional Analytical Models and associated analytical workflow;
(b) Notwithstanding Section 3.1(c), fine-tune Generative AI Systems using only Permitted Metadata and solely for the purposes set out below:
(i) improving natural language understanding of economic and financial terminology (domain adaptation);
(ii) enhancing query interpretation and semantic search capabilities; or
(iii) optimizing retrieval and ranking of relevant series.
5.Customer Responsibilities and Obligations
5.1 Customer shall:
(a) implement access controls limiting use of Macrobond Data within Generative AI Systems to Designated User(s) only, including within Generative AI Systems;
(b) maintain technical measures preventing extraction, aggregation or reconstruction of Macrobond Data beyond what is permitted under Sections 2 and 4;
(c) ensure all transfers of Macrobond Data to Generative AI Systems occur via encrypted channels (TLS 1.2+);
(d) ensure that data requests through the AI Data Feed Service are proportionate to and reasonably necessary for use permitted under Sections 2 and 4. Customer acknowledges that data volumes exceeding what is reasonably required for such permitted use may constitute evidence of intent to breach of Section 3.1(e) or 3.1(f).
5.2 Where technically feasible, Customer shall include the following attribution on any external publication containing AI Outputs: “Source data: Macrobond (AI Data Feed)”.
5.3 Customer acknowledges that Data Providers may impose additional restrictions on the use of Data Providers data with Generative AI Systems, therefore Customer shall ensure that it obtains and maintains all required licenses and complies with all Data Provider terms.
5.4 Macrobond may monitor usage of the AI Data Feed Service at an aggregate and technical level for the purposes of:
(a) ensuring compliance with this Addendum and the Agreement;
(b) protecting the security and integrity of the Products and Macrobond Data; and
(c) identifying anomalous or high-risk usage patterns that may reasonably indicate conduct prohibited under Section 3. Such monitoring shall not include access to Customer prompts, inputs, or Customer Output, except where strictly necessary to investigate a suspected breach and subject to appropriate confidentiality safeguards.
6.Termination
6.1 On notice to Customer, Macrobond may:
(a) disable or withdraw any portion of the AI Data Feed if required by Macrobond and/or a Data Provider; or
(b) suspend or terminate access to the AI Data Feed Service if: (i) required by Macrobond and/or a Data Provider; (ii) Customer breaches the terms of this Addendum; (iii) Customer fails to remediate a breach or risk identified under Section 6.1(c), or (iv) Macrobond determines that Customer’s use of the AI Data Feed Service materially threatens the security or integrity of the Product(s).
(c) where Macrobond reasonably believes that Customer’s use of the AI Data Feed Service presents a heightened risk of non-compliance, misuse, or unintended exposure of Macrobond Data, including conduct that may reasonably indicate a breach of Section 2 and 3, Macrobond may, upon notice to Customer and without terminating the Agreement: (i) require Customer to provide information reasonably necessary to assess such use; (ii) require Customer to implement corrective or remedial measures within a specified timeframe; (iii) impose temporary or scoped technical restrictions on use of the AI Data Feed Service (including rate limits, feature limitations, or suspension of specific use cases); or (iv) suspend access to the AI Data Feed Service until such risk is mitigated.
6.2 Upon termination or expiration of all active Order Forms, Customer shall (i) immediately cease all use (including internal use) of the AI Data Feed Service, Macrobond Data and Derived Data and (ii) delete all Macrobond Data, Derived Data and MBDoc’s.
7.Limitation of Liability
7.1 In no event will Macrobond be liable for Customer’s and/or Designated User(s) use of, or inability to use, the AI Data Feed Service.
8.Miscellaneous
8.1 This Addendum applies only to the AI Data Feed Service. All other Products, Data, Macrobond Data, metadata, MBDocs, Software and the Data Feed Services remain subject to Macrobond’s standard AI Acceptable Use Policy.
8.2 In the event of any conflict between this Addendum, the Agreement or an Order Form, the following order of precedence will apply: (1) this Addendum (2) an Order Form, and (3) the master license agreement (defined as “MSA or “Agreement”), only with respect to such conflict.
8.3 The parties have executed this Addendum effective as of the Effective Date above. This Addendum may be executed in counterparts, each of which shall be deemed to be an original, and together with the Agreement shall constitute one instrument.
8.4 This Addendum shall be governed by and construed in accordance with the governing law as stated in the Agreement.
