Macrobond Assist Product Addendum

This product addendum (“Addendum”) forms part of the master license agreement or trial agreement between Macrobond and Customer (“Agreement”) and sets forth the licensing terms governing Customer’s use (or trial) of Macrobond Assist. Except as modified by this Addendum, the Agreement remains unchanged and in full force. Capitalized terms not defined in this Addendum will have the meanings given to them in the Agreement.

1. Defintions

Customer AI System: means any artificial intelligence model, system, application, agent, workflow, MCP client or other AI-enabled tool or environment selected, licensed, configured, controlled or used by Customer or its Designated Users to access, retrieve, process or otherwise interact with Macrobond Data obtained through Macrobond Assist, including associated models, tools, services or infrastructure involved in that interaction, however does not include an analytical model other than as permitted under Section 2.1.
Macrobond Assist: the Product comprising functionality made available through Macrobond’s designated Model Context Protocol server, enabling a Customer AI System to access and interact with Macrobond Data and other functionalities made available through such server. References to “Product” in the Agreement and each instance where it is referred shall include Macrobond Assist.
Macrobond Assist Add-On: Macrobond Assist subscription purchased for use with an active paid Macrobond Analysis subscription identified in the applicable Order Form.
Macrobond Assist Standalone: Macrobond Assist subscription purchased independently of another Product.
Macrobond Data: any Macrobond time series or other raw data, including related metadata curated or created and provided by Macrobond to Customer through the Products.
Unique Time Series: a distinct Macrobond time series identified by its unique Macrobond series identifier.
UTS Usage Limit: the maximum UTS Usage permitted for a Designated User during each calendar month of the Subscription Term specified in the applicable Order Form.
User Memory: information retained by a Customer AI System about a Designated User’s preference, instructions or prior interactions.

2. Access and use

2.1 Permitted AI Use. Subject to this Addendum and notwithstanding any contrary restriction in the Agreement or applicable Order Form, Customer and its Designated Users may:
(a) use Macrobond Data made available through Macrobond Assist with a Customer AI System, solely through the Macrobond Assist functionality made available by Macrobond;
(b) use Macrobond Data to develop, train, validate and run statistical, econometric, forecasting, machine-learning and neural-network models for analytical purposes, (excluding however, embedding models, foundation models and models used to provide general-purpose or generative AI capabilities);
(c) use User Memory as input or context to personalize or improve responses for the Designated User; and
(d) generate Customer Output and Derived Data for internal use in the ordinary course of Customer's business, subject to the restrictions applicable to Customer Output and Derived Data under the Agreement and this Addendum; (collectively, “Permitted AI Use”).
2.2 Permitted AI Use Conditions. Customer shall ensure that:
(a) Macrobond Data is accessed and used only by Designated Users;
(b)Customer maintains technical and administrative measures reasonably designed to prevent unauthorized access, extraction, aggregation, retention, redistribution, reconstruction, regeneration or substitution of Macrobond Data beyond the Permitted AI Use; and
(c) Macrobond Data is transmitted using secure, encrypted channels.
2.3 Designated User Entitlements. Unless otherwise stated in an Order Form:
(a) each Macrobond Assist license is assigned to one named Designated User and shall only be used by that Designated User;
(b) each assigned Designated User receives the UTS Usage Limit specified in the applicable Order Form;
(c) a UTS Usage Limit may not be pooled, transferred or shared among Designated Users;
(d) unused UTS Usage Limit expires at the end of the applicable calendar month and does not carry forward;
(e) UTS Usage Limit applicable to a future month may not be used in an earlier month;
(f) for Macrobond Assist Add-On, the Designated User must be the same licensed user for the existing Macrobond Analysis subscription; and the applicable Macrobond Assist Add-On single monthly UTS Usage Limit will apply across such Designated User’s use of Macrobond Assist and Macrobond Analysis; and
(g) consumption against the UTS Usage Limit is measured as UTS Usage. Repeated access to the same UTS by the same Designated User during the same calendar month counts once during that calendar month.
2.4 Macrobond Assist Add-On is available only while Customer maintains an active paid subscription to Macrobond Analysis. If the related Macrobond Analysis subscription expires or terminates, the Macrobond Assist Add-On will automatically terminate unless Customer enters into a new Order Form for Macrobond Assist Standalone and pays the applicable fees.
2.5 Any use of Macrobond Assist that is not expressly permitted under this Addendum is prohibited, and all rights not expressly granted are reserved by Macrobond.
2.6 Macrobond may exclude datasets from Macrobond Assist where Macrobond does not have the right to make those datasets available through Macrobond Assist or where access is subject to Data Provider restrictions. Excluded datasets will not be available unless enabled by Macrobond under the applicable licensing terms.

3. Restrictions

3.1 Customer shall not, and shall not allow a Designated User, operator of a Customer AI System, or other third party to:
a) use Macrobond Data with a Customer AI System except as expressly permitted under Section 2;
b)permit or use User Memory or Macrobond Data to train, fine-tune or otherwise improve or change an underlying artificial intelligence model, its parameters or an underlying system;
c) exceed or circumvent the permitted UTS Usage Limit;
d) redistribute, disclose or otherwise make Macrobond Data available (including through any workspace, API, interface, workflow, integration or AI-enabled process) except as expressly permitted under Order Form or this Addendum;
e) access or use Macrobond Assist beyond or in violation of the license rights and limits granted;
f) use Macrobond Data, Customer Output or Derived Data to create or offer any dataset, product or service that directly substitutes for Macrobond Data or a Product;
g) use Macrobond Data with any Customer AI System in a manner that violates any applicable Data Provider restrictions; or
h)access Macrobond's underlying databases, systems or infrastructure other than through the authorized Macrobond Assist delivery methods stated in an Order Form.

4. Customer responsibilities

4.1 Customer shall be responsible for:
(a) independently reviewing and validating any output and Customer Output (which may be incomplete, inaccurate or unsuitable for Customer's intended purpose) before relying on it;
(b) obtaining and maintaining all accounts, licenses, consents, permissions and other rights required for Customer and its Designated Users to access and use any Customer AI System;
(c) complying with all terms applicable to each Customer AI System; and
(d) selecting, configuring and using each Customer AI System in a manner consistent with the Agreement and this Addendum.
4.2 Macrobond shall not be responsible or liable for Customer's or any Designated User's access to, use of, configuration of, or contractual or other relationship with, any Customer AI System.

5. Termination

5.1 Upon expiration or termination of Customer's Macrobond Assist subscription, Customer and its Designated Users shall immediately cease using Macrobond Assist and shall cease using Macrobond Data obtained through Macrobond Assist, except to the extent Customer has continuing rights to access or use the same Macrobond Data under the Agreement or another active Order Form.

6. Miscellaneous

6.1 In the event of a conflict between this Addendum, the Agreement and an Order Form in relation to Macrobond Assist, the following order of precedence will apply, only to the extent of the conflict: (1) the applicable Order Form; (2) this Addendum; and (3) the Agreement.
6.2 This Addendum shall be governed by and construed in accordance with the governing law as stated in the Agreement.
