This product addendum (“Addendum”) forms part of the master license agreement or trial agreement between Macrobond and Customer (“Agreement”) and sets forth the licensing terms governing Customer’s use (or trial) of Data Feed. Except as modified by this Addendum, the Agreement remains unchanged and in full force. Capitalized terms not defined in this Addendum will have the meanings given to them in the Agreement.
1. Definitions
Customer AI System: means an artificial intelligence model or system application, agent, workflow, MCP client or other AI-enabled tool or environment selected, licensed, configured, controlled or used by Customer or its Designated Users to access, retrieve, process or otherwise interact with Macrobond Data obtained through Macrobond Assist, including associated models, tools, services or infrastructure involved in that interaction, however does not include an analytical model.
Data Feed: means Macrobond proprietary systematic data-delivery product and related functionality through which Customer may access authorized Macrobond Data. The definition of “Product” in the Agreement and each instance where it is referred shall include Data Feed.
Data Feed Service: the Data Feed Service product purchased by Customer under an Order Form prior to 13 October 2026 that has not subsequently been amended, renewed or replaced to expressly include the additional Permitted AI Use rights under Section 4.
Internal Downstream Consumer: an employee, contractor, internal system or other internal recipient within Customer's Organization that receives Derived Data from Customer's Data Feed process but does not independently access Data Feed.
Permitted Metadata: a limited subset of non-structural metadata strictly necessary to identify and understand an individual time series at a descriptive level, consisting solely of: (a) series name or short description; (b) geographic reference at the country or region level (excluding internal or hierarchical geography codes); (c) frequency and units of measure; (d) observation date or period labels; and (e) source attribution at a high level (e.g., “National Statistics Office”), and expressly excluding any taxonomy, classification system, hierarchy, relationship mapping, internal identifiers, grouping logic, methodology descriptions, or any metadata capable of enabling reconstruction, inference, or approximation of Macrobond’s proprietary data models or Products.
Macrobond Data: any Macrobond time series or other raw data, including related metadata curated or created and provided by Macrobond to Customer through the Products.
Macrobond Skill: the Macrobond-provided integration or functionality that enables supported systems or workflows to access authorized Macrobond Data through Data Feed.
Third Party Delivery Add-On: an optional delivery method used with Data Feed (including Customer’s supported Snowflake or Databricks delivery).
UTS Usage Limit: the maximum number of UTS Usage that Customer is entitled to access through the Data Feed during each calendar year of the Subscription Term, specified in the applicable Order Form.
API: the Macrobond-hosted application programming interface included within Data Feed that enables Customer to programmatically access, retrieve and use Macrobond Data and related functionality through API requests.
User Memory: information retained by a Customer AI System about a Designated User’s preference, instructions or prior interactions.
2. ACCESS AND USE
2.1 Notwithstanding the terms of the Agreement and subject to the license rights granted under the applicable Order Form, Customer may use Data Feed to:
(a) set up recurring, systematic or automated Data retrieval and validation processes;
(b) create, enhance or maintain an internal database, feed, system, or models and workflows
(c) distribute Data to Designated User(s);
(d) distribute the Derived Data created by the Designated User(s) to Internal Downstream Consumers only; and/or
(e) distribute Customer Output to external downstream consumers; and/or
(f) distribute Data to external downstream consumers, only as permitted and identified under an Order Form.
2.2 Designated User Entitlements. Unless otherwise stated in an Order Form:
(a) unused UTS Usage Limit expires at the end of the applicable annual Subscription Term and does not carry forward;
(b) UTS Usage Limit applicable to a future annual Renewal Term may not be used in an earlier annual Subscription Term;
(c) for Third Party Delivery Add-On, the Data Feed UTS Usage Limit purchased will apply across all purchased delivery methods on an aggregate basis and no separate UTS Usage Limit is provided for such Third Party Delivery Add-on(s); and
(d) consumption against the UTS Usage Limit is measured as UTS Usage. Repeated access to the same UTS by the same Designated User during the same calendar month counts once during that calendar month.
2.3 Any use of Data Feed that is not expressly permitted under this Addendum or the Agreement is prohibited, and all rights not expressly granted are reserved by Macrobond.
2.4 Macrobond may exclude datasets from Data Feed where Macrobond does not have the right to make those datasets available through Data Feed or where access is subject to Data Provider restrictions. Excluded datasets will not be available unless enabled by Macrobond under the applicable licensing terms.
3. RESTRICTIONS
3.1 Customer shall not, and shall not allow a Designated User or third party to:
(a) access or use Data Feed beyond or in violation of the rights granted under the Agreement and this Addendum;
(b) distribute Data or Derived Data except as expressly authorized under Section 2 and the applicable Order Form;
(c) access Macrobond's underlying databases, systems or infrastructure other than through the authorized Data Feed delivery methods stated in an Order Form;
(d) use Macrobond Data, Customer Output or Derived Data to create or offer any dataset, product or service that directly substitutes for Macrobond Data or a Product;
(e) use the Data or Macrobond Data in violation of applicable Data Provider restrictions; or
(f) exceed or circumvent the permitted UTS Usage Limit.
4. DATA FEED TERMS [Explicitly does not apply to the Data Feed Service Product]
In addition to the rights above, the use permissions and restrictions in this Section 4 apply to Data Feed Customers’ only.
4.1 ACCESS AND USE
4.1.1 Permitted AI Use. Notwithstanding the terms in the Agreement or an Order Form and subject to the terms of this Addendum, Customer and Designated User(s) may:
(a) access and retrieve Macrobond Data through the API and Macrobond Skill;
(b) use Macrobond Data with Customer AI Systems in associated analytical workflows;
(c) generate Customer Output and Derived Data for internal use in the ordinary course of Customer’s business, subject to the redistribution restrictions applicable to Customer Output under the Agreement; and
(d) use Permitted Metadata to configure or fine-tune Customer AI Systems solely for Customer's internal use to improve economic and financial terminology, query interpretation, semantic search, retrieval or ranking; (collectively “Permitted AI Use”); provided that (d) above does not enable reconstruction, inference or approximation of Macrobond Data, proprietary taxonomies, classifications, hierarchies or other proprietary Data Feed elements.
4.1.2 Permitted AI Use Conditions. Customer shall ensure that:
(a) Macrobond Data is accessed and used by Designated User(s) only;
(b) Customer maintains technical and administrative measures reasonably designed to prevent unauthorized extraction, aggregation, retention, redistribution or reconstruction, regeneration or inference of Macrobond Data beyond the Permitted AI Use; and
(c) Macrobond Data is transmitted using secure, encrypted channels.
4.1.3 Customer Responsibilities. Customer shall be responsible for:
(a) independently reviewing and validating any output and Customer Output (which may be incomplete, inaccurate or unsuitable for Customer's intended purpose) before relying on it;
(b) obtaining and maintaining all accounts, licenses, consents, permissions and other rights required for Customer and its Designated Users to access and use any Customer AI System;
