This document sets out the product specifications of the Macrobond Products and Services purchased by Customer under an applicable Order Form and is supplemental to the Agreement signed by the Customer. Capitalized terms used herein but not defined shall have the meaning ascribed to them in the Agreement. 

1. MACROBOND SOFTWARE PRODUCTS:

Software Products as identified in an Order Form includes the features as set forth in the tables below, based on the type of Software Product purchased by Customer:

2. MACROBOND FEED SERVICE PRODUCTS

The Feed Service Products as identified in an Order Form will include the features as set forth in the table below, based on the type of Feed Service Product purchased by Customer:

FTP / SFTP Data feed delivery: Customer receives the time series previously added to a dedicated portal, on a Macrobond FTP or SFTP host.
Snowflake Data feed delivery: Customer receives the time series previously added to a dedicated portal, directly in Customers Snowflake environment.
Databricks Data feed delivery: Customer receives the time series previously added to a dedicated portal, directly in Customers Databricks environment.
Data Web API delivery: Customer uses the application programming interface to extract and manipulate the time series and other entities from the Macrobond Data. This Feed Service also comes with a Python-dedicated API.
Data Explorer (feature) Web delivered tool to enable Customer to navigate the Macrobond Data and identify UTS codes for subscription via the other Feed Service Products.

 

3. ADDITIONAL TERMS AND CONDITIONS

3.1. Feed Service Terms.

(a) To ensure Customer’s licensing compliance with the applicable Data Provider(s) licensing terms, datasets that Macrobond does not have the right to distribute to the Customer via the Feed Service will not be available by default.
(b) Macrobond shall only act as a pass-through to distribute the Third-Party Dataset via the Feed Service subject to the Customer: (i) having a valid data license in place from the Data Provider(s) for the applicable dataset; and (ii) the Data Provider having confirmed to Macrobond that the Customer has a valid license.

3.2. Third Party Datasets and Third-Party Software.

To ensure Customer’s licensing compliance with the applicable Data Provider(s) licensing terms, Customer access to the Third Party Dataset(s) and/or Third Party Software through the Macrobond Product, shall only be available subject to the Customer: (i) having a valid data license in place from the Data Provider(s) for the applicable Third Party Dataset(s) and/or Third party Software; and (ii) the Data Provider having confirmed to Macrobond that the Customer has a valid license.

3.3 Chart Server.

The Chart Server Product allows Customer to programmatically generate images of the Macrobond charts to distribute dynamic Customer Output. The Chart Server Product must be hosted on the Customer’s environment and is limited to producing the number of Unique Documents, as specified in the applicable Order Form.

4. DEFINITIONS

“Customer Output Storage limit” means the maximum number of MBDoc’s, Presentations or files stored by a Designated User on Macrobond servers. 
“Data Science Tools” means the technical integration with Third Party Software for analysis purposes (with tools including Matlab R, eViews and Python).
“Designated Users” means the number individual user(s) or a specific named team (for the Feed Service) licensed under the applicable Order Form, to access and use the Products using a unique identifier, which may also be referred to as “Named Users” in the Agreement.
“Feed Service” means the Macrobond proprietary data feed service as identified in an applicable Order Form through which Customer may access Data, Customer Output, Third Party Dataset(s) and other functionality as applicable.
“In House Time Series” means either data the Customer may or has uploaded and stored on Macrobond servers, or a calculated series using Macrobond built-in analytics.
“MBDoc” means Macrobond’s proprietary structured document format that encodes the methodology, calculations, chart definitions, metadata, and associated structures applied to underlying data series.
“Third Party Dataset(s)” means data from a Data Provider(s) which may be added at Customer’s request and accessed through the Macrobond Product, including through connectors designed by Macrobond, as applicable.
“Third Party Software” means software from third-party which may be added at Customer’s request and accessed through the Macrobond Product, including through connectors designed by Macrobond, as applicable.
“Unique Time Series (UTS)” means a unique time series is defined by a unique identifier, regardless of the number of times it is requested, and whether vintage versions of the time series are requested or not.
“Unique Documents (UD)” means a unique MBDoc as identified by a unique identifier.
“UTS Usage” means each instance of Active Use that results in a query for a Unique Time Series against the Macrobond Data and does not include Passive Use. For the purpose of the definition of UTS Usage, Active Use” means without limitation:
(i)    directly or indirectly opening or refreshing a MBDoc or adding a new series to a MBDoc (including Customer Output, Watchlists, Alerts and the Release Calendar);
(ii)    refreshing or creating Excel datasets or using Macrobond Excel UDF functions;
(iii)    refreshing or embedding Macrobond charts or data in external applications such as PowerPoint or Word;
(iv)    querying Macrobond Data via Desktop APIs, Connectors (including to Matlab, R, Python, EViews, SQL, or Bloomberg API) or Feed Services (including Web API, FTP/SFTP, Snowflake or Databricks);
(v)    refreshing MBDocs or thumbnails; and/or
(vi)    Use of Customer Data as an In House Time Series. (Upload is not counted, use/download is counted)
However, does not include Third Party Datasets purchased as Add Ons.
For clarity, repeated access to the same Unique Time Series during the relevant time period is counted as 1 UTS Usage.
“Passive Use” means, without limitation, searching, browsing, or previewing series or metadata; opening example or educational MBDoc’s from the Macrobond Chart Library.
